1. Confidentiality of Communication
1.1 Scope: This clause applies to all communications between you and Toolvia via WhatsApp, which occur in the course of purchasing services.
1.2 Confidentiality: Toolvia shall maintain the confidentiality of all chats and communications with you via WhatsApp, including details of services, project requirements, and any sensitive information shared during communication.
1.3 Non-Disclosure: Toolvia shall not disclose the details of these communications to any third party without your prior permission. This restriction shall survive the termination of Toolvia’s services.
1.4 Security Measures: Toolvia shall implement reasonable technical and organizational measures to ensure the security and confidentiality of your information and prevent unauthorized access or disclosure.
1.5 Client Responsibilities: You are responsible for securing your login credentials and communication channels. If you suspect any unauthorized access or data breach, you shall immediately notify Toolvia.
1.6 Exceptions: This confidentiality clause shall not apply if disclosure is:
  • Required by applicable law.
  • Necessary as evidence in legal proceedings.
2. Payment Process
2.1 Payment Confirmation: Toolvia shall not be obligated to provide any services until payment has been confirmed and cleared. Toolvia reserves the right to delay or cancel service delivery if payment is not received within the specified timeframe.
2.2 Payment Terms: Client agrees to make payments as per the agreed-upon terms, and Toolvia shall not be responsible for any delays or issues caused by late or non-payment.
2.3 Cooperation: In the event of server downtime or technical issues affecting payment processing, Client agrees to cooperate with Toolvia and wait for payment confirmation before expecting service delivery. Toolvia shall use reasonable efforts to resolve technical issues promptly.
2.4 Payment Processing Time: Client acknowledges that payment processing may take some time, and Toolvia shall not be liable for any delays caused by payment processing times.
This clause ensures that:
  • Toolvia doesn’t start working on a project until payment is confirmed.
  • Client is aware of the payment terms and agrees to cooperate in case of technical issues.
  • Toolvia isn’t liable for delays caused by payment processing or technical issues.
 
3. Delivery Timeframe and Client Expectations
3.1 Delivery Timeframe: Toolvia shall use reasonable efforts to deliver the services within the timeframe specified in the agreement or as communicated to the Client.
3.2 Client Expectations: Client agrees to allow Toolvia to deliver the services within the specified timeframe and shall not make any demands or behave in a manner that interferes with Toolvia’s ability to deliver the services as agreed.
3.3 No Harassment or Misbehavior: Client shall not engage in any form of harassment, abuse, or misbehavior towards Toolvia’s team members, and shall maintain a professional demeanor in all communications.
3.4 Consequences of Misbehavior: If Client engages in any form of harassment, abuse, or misbehavior, Toolvia reserves the right to suspend or terminate the agreement, and Client shall be liable for any damages or losses incurred by Toolvia.
This clause ensures that:
  • Toolvia commits to delivering services within the specified timeframe.
  • Client allows Toolvia to deliver services without undue pressure or interference.
  • Client maintains a professional and respectful demeanor in all communications.
  • Toolvia has the right to take action if Client engages in harassment or misbehavior.
4. Service Guarantee and Validity Period
4.1 Service Guarantee: Toolvia shall clearly specify the guarantee period for each service offered, including but not limited to:
  • Subscription-based Services: Validity period (e.g., 30 days, 1 year) for subscription-based services such as hosting plans and social media boosting services.
  • One-time Services: Guarantee period for one-time services such as website development and domain registration.
4.2 Disclosure of Terms: Toolvia shall provide clear and transparent information about the validity period and guarantee terms for each service, including the duration and any conditions that may apply.
4.3 Service Termination: Upon expiration of the validity period, the service shall automatically terminate unless renewed by the Client in accordance with Toolvia’s renewal policies.
4.4 Pro-rated Refunds: If a service is terminated before the end of the validity period, Client may be eligible for a pro-rated refund, subject to Toolvia’s refund policy.
4.5 Responsibility for Service Outages: If a service is disrupted or terminated due to Toolvia’s fault before the end of the validity period, Toolvia shall be responsible for restoring the service or providing a suitable replacement. Toolvia shall also consider extending the service period for the duration of the outage or disruption.

5. Price Guarantee
5.1 Price Guarantee: Toolvia guarantees that the prices for its services will not decrease during the validity period of the service agreement.
5.2 No Price Disputes: Client agrees not to dispute or negotiate the prices once the agreement has been signed, as the prices are based on the quality and guarantee of services provided by Toolvia.
5.3 Service Quality and Guarantee: Toolvia commits to providing high-quality services and stands behind the value of its services, which justifies the prices charged.
 
6. Employee Conduct and Disciplinary Action
6.1 Zero Tolerance Policy: Toolvia has a zero-tolerance policy towards any form of misconduct, harassment, or disrespect towards clients.
6.2 Disciplinary Action: If any Toolvia employee is found to have misbehaved with a client, Toolvia shall take immediate disciplinary action, including termination of employment.
6.3 Client Safety and Security: Toolvia prioritizes client safety, respect, and security, and shall take all necessary measures to ensure a safe and respectful working environment.
6.4 Legal Action: In case of severe misconduct, Toolvia reserves the right to take legal action against the employee.

7. Refill Policy for Boosting Services
7.1 Notification: If any likes, views, shares, or other engagement drops occur on any boosting service provided by Toolvia, the Client shall inform Toolvia immediately.
7.2 Refill Guarantee: Toolvia shall refill the lost engagement within 72 hours of receiving notification from the Client, provided that the loss is not due to any fault or action of the Client.
7.3 Client Cooperation: The Client shall cooperate with Toolvia in investigating the cause of the drop and provide any necessary information to facilitate the refill process.

  • Toolvia 72 hours ke andar refill karega, provided k loss Client ki fault se nahi hua hai.
  • Client Toolvia ke saath cooperate karega investigation aur refill process mein.
8. Affiliate Program
8.1 Affiliate Opportunity: Toolvia offers an affiliate program for individuals or companies interested in promoting Toolvia’s services.
8.2 Contact Information: To learn more about the affiliate program, please contact Toolvia through WhatsApp.
8.3 Affiliate Details: Interested parties shall fill out the affiliate application form and submit it to Toolvia for review.
8.4 Terms and Conditions: Affiliates shall carefully read and agree to the terms and conditions of the affiliate program before participating.

9.3 Resale Agreement: Resellers shall agree to Toolvia’s resale terms and conditions, including pricing, payment terms, and service level agreements.

10.2 Action Against Unauthorized Resellers: If any individual or entity is found reselling Toolvia’s services without proper authorization, Toolvia reserves the right to take strict legal action, including but not limited to, reporting the individual/entity to relevant authorities and seeking damages.
10.3 Registered Customers Only: Toolvia’s services are only available for purchase by registered customers who agree to the terms and conditions of this agreement.

11.2 Daily Basis Updates: Toolvia may update its terms and conditions on a daily basis to reflect changes in its services, policies, or legal requirements.
11.3 Client Responsibility: It is the client’s responsibility to regularly review the terms and conditions to stay informed about any changes.
11.4 Continued Use: By continuing to use Toolvia’s services, the client acknowledges and agrees to be bound by the updated terms and conditions.
